यदि आप माता-पिता या कानूनी अभिभावक हैं और आप अपने बच्चे को वेबसाइट पर पंजीकरण करने की सहमति देते हैं, तो आप वेबसाइट के उपयोग के संबंध में इन सेवा शर्तों से बंधे होने के लिए सहमत होते हैं। यदि आप विद्यालय कर्मचारी (जैसा कि नीचे परिभाषित किया गया है) हैं और आप किसी विद्यालय उपयोगकर्ता (जैसा कि नीचे परिभाषित किया गया है) का पंजीकरण करते हैं, तो आप अपने संस्थान की ओर से सहमत होते हैं कि विद्यालय उपयोगकर्ता इन शर्तों से बंधा होगा, जब तक कि आपके संस्थान का नोमैड अकादमी के साथ कोई अलग लिखित सेवा समझौता न हो जो विद्यालय उपयोगकर्ताओं की ओर से इन शर्तों को स्वीकार करता हो।.

1. पात्रता; खाते

ये सेवाएं निम्नलिखित व्यक्तियों के लिए उपलब्ध नहीं हैं: (ए) नोमैड अकादमी द्वारा पहले निलंबित या सेवाओं से हटाए गए कोई भी उपयोगकर्ता, या (बी) 13 वर्ष से कम आयु के कोई भी व्यक्ति (या आपके देश में सहमति की कानूनी आयु से कम आयु के) जिनका पंजीकरण माता-पिता या कानूनी अभिभावक द्वारा अनुमोदित नहीं किया गया है (या, स्कूल खातों के लिए, स्कूल कर्मियों द्वारा जैसा कि शर्तों के तहत अनुमति है)।.

1.1. स्वीकृति

“मैं सहमत हूँ” बटन पर क्लिक करके या अन्यथा सेवाओं के लिए खाता उपयोग या पंजीकरण करके, आप यह दर्शाते हैं कि (i) आप कम से कम 13 वर्ष की आयु के अमेरिकी निवासी हैं, या (ii) आप अमेरिकी निवासी नहीं हैं, और अपने निवास देश के कानूनों के तहत खाता खोलने के लिए कानूनी सहमति की आयु के हैं, या (iii) सेवाओं का आपका उपयोग आपके माता-पिता या कानूनी अभिभावक, या स्कूल उपयोग के लिए आपके स्कूल या शिक्षक द्वारा अनुमोदित किया गया है (जैसा कि धारा 1.6 में बताया गया है)।स्कूल उपयोगआप यह भी प्रमाणित करते हैं कि आपको नोमैड एकेडमी द्वारा सेवाओं से पहले निलंबित या हटाया नहीं गया है, और यह कि आपका पंजीकरण और सेवाओं का आपका उपयोग सभी लागू कानूनों के अनुरूप है।.

1.2. खाता

सेवाओं की कुछ सुविधाओं का उपयोग करने के लिए, आपको एक खाता पंजीकृत करना होगा। आपसे अपने खाते से संबंधित पासवर्ड मांगा जा सकता है। आप अपने खाते और पासवर्ड की गोपनीयता बनाए रखने के लिए पूरी तरह से जिम्मेदार हैं, और आप अपने खाते या पासवर्ड के तहत होने वाली सभी गतिविधियों के लिए जिम्मेदारी स्वीकार करते हैं। आप सहमत हैं कि पंजीकरण के समय या किसी अन्य समय नोमैड एकेडमी को आपके द्वारा प्रदान की गई जानकारी सही, सटीक, अद्यतन और पूर्ण होगी। आप यह भी सुनिश्चित करने के लिए सहमत हैं कि यह जानकारी हर समय सटीक और अद्यतन रहे। यदि आपको यह मानने का कारण है कि आपका खाता अब सुरक्षित नहीं है (उदाहरण के लिए, आपके खाता आईडी या पासवर्ड के खो जाने, चोरी हो जाने या अनधिकृत रूप से प्रकट होने या उपयोग किए जाने की स्थिति में), तो आप तुरंत सूचित करने के लिए सहमत हैं। नोमैड अकादमी सहायता.आपके सेवा खाते के किसी भी अनधिकृत उपयोग के कारण नोमैड एकेडमी या अन्य लोगों को होने वाले नुकसान के लिए आप उत्तरदायी हो सकते हैं।.

1.3. एकीकृत सेवा

नोमैड एकेडमी आपको फेसबुक कनेक्ट और गूगल ("एकीकृत सेवा") जैसी कुछ तृतीय-पक्ष सोशल नेटवर्किंग या एकीकृत सेवाओं के माध्यम से सेवाओं के लिए पंजीकरण करने या अपने नोमैड एकेडमी खाते को उनसे जोड़ने की अनुमति दे सकती है। किसी एकीकृत सेवा का उपयोग करके (या उसे एक्सेस प्रदान करके) सेवाओं के लिए पंजीकरण करने पर, आप सहमत होते हैं कि नोमैड एकेडमी आपकी एकीकृत सेवा की खाता जानकारी तक पहुंच सकती है, और हमारी गोपनीयता नीति के अनुसार एकीकृत सेवा से पहले से जुड़ी कुछ जानकारी को संग्रहीत और उपयोग कर सकती है। गोपनीयता नीति, आप एकीकृत सेवा के माध्यम से सेवाओं के उपयोग से संबंधित सभी नियमों और शर्तों से सहमत हैं। आप किसी भी समय संबंधित एकीकृत सेवा की खाता सेटिंग को अपडेट करके नोमैड एकेडमी की अपने खाते तक पहुंच को रद्द कर सकते हैं। आपको प्रत्येक एकीकृत सेवा के माध्यम से हमें भेजी गई जानकारी और उन खाता सेटिंग्स में किए जा सकने वाले परिवर्तनों को समझने के लिए प्रत्येक एकीकृत सेवा पर अपनी खाता सेटिंग की जांच करनी चाहिए। आप सहमत हैं कि कोई भी एकीकृत सेवा एक संदर्भ साइट (जैसा कि नीचे परिभाषित किया गया है) है और एकीकृत सेवा के माध्यम से सेवाओं तक पहुंचने के परिणामस्वरूप एकीकृत सेवा के साथ आपकी बातचीत के लिए आप पूरी तरह से जिम्मेदार हैं। नोमैड एकेडमी एकीकृत सेवाओं की कार्यप्रणाली को नियंत्रित नहीं करती है, और आपको सलाह दी जाती है कि आप जिस भी एकीकृत सेवा का उपयोग करते हैं, उसकी गोपनीयता नीति और नियमों और शर्तों को पढ़कर उनकी कार्यप्रणाली को समझें।.

1.4. बाल उपयोगकर्ता

यदि आपकी आयु 13 वर्ष से कम है (संयुक्त राज्य अमेरिका में, या आपके देश में सहमति की कानूनी आयु से कम), तो आप "बाल उपयोगकर्ता" हैं, और आप अपने माता-पिता या कानूनी अभिभावक, या अपने स्कूल से, जैसा कि धारा 1.6 स्कूल उपयोग में बताया गया है, की सहमति और अनुमोदन के बिना सेवाओं के लिए खाता नहीं बना सकते हैं। यदि आपकी आयु 18 वर्ष से कम है (या आपके देश में वयस्कता की कानूनी आयु से कम), तो आप यह सुनिश्चित करते हैं कि आपके माता-पिता या कानूनी अभिभावक ने आपकी ओर से शर्तों की समीक्षा की है और उनसे सहमत हैं। धारा 1.6 स्कूल उपयोग में परिभाषित स्कूल उपयोग के लिए बनाए गए खातों को छोड़कर, ऐसे बाल उपयोगकर्ता जो माता-पिता उपयोगकर्ता (जैसा कि नीचे परिभाषित है) के बिना पंजीकरण प्रक्रिया शुरू करते हैं, उनकी पंजीकरण प्रक्रिया तब तक प्रतिबंधित हो सकती है जब तक कि माता-पिता या कानूनी अभिभावक बाल उपयोगकर्ता खाते को अनुमोदित या उसकी जिम्मेदारी नहीं ले लेते। एक बाल उपयोगकर्ता सेवाओं का उपयोग तभी कर सकता है जब वह कुछ शैक्षणिक संगठनों के माध्यम से पंजीकृत हो, या कुछ मामलों में, स्कूल कर्मियों द्वारा पंजीकृत हो जिन्होंने नोमैड अकादमी के साथ सीधे संबंध स्थापित किया हो, बशर्ते कि शैक्षणिक संगठन ने माता-पिता या कानूनी अभिभावक की सहमति प्राप्त कर ली हो, या लागू कानून के तहत माता-पिता की सहमति की आवश्यकताओं से छूट का अनुपालन किया हो। किसी बाल उपयोगकर्ता को सेवाओं का उपयोग करने की अनुमति केवल तभी तक दी जाएगी जब तक नोमैड अकादमी को यथोचित रूप से विश्वास है कि ऐसी पहुँच बाल उपयोगकर्ता के माता-पिता या कानूनी अभिभावक द्वारा, या स्कूल की सहमति से (जैसा कि अनुभाग 1.6 स्कूल उपयोग में चर्चा की गई है) दी गई है।.

1.5. अभिभावक उपयोगकर्ता

यदि आपकी आयु कम से कम 18 वर्ष है और आप उस बच्चे के माता-पिता या कानूनी अभिभावक हैं जो सेवाओं के बाल उपयोगकर्ता के रूप में पंजीकरण कराना चाहता है, तो आप सेवाओं पर एक अभिभावक खाता ("अभिभावक उपयोगकर्ता") पंजीकृत कर सकते हैं। इन शर्तों के प्रयोजनों के लिए, "अभिभावक की सहमति" से तात्पर्य माता-पिता या कानूनी अभिभावक द्वारा अपने बाल उपयोगकर्ता के लिए दी गई सहमति से है। अभिभावक उपयोगकर्ता खाते के माध्यम से, आप केवल अपने बच्चे/बच्चों या उन बच्चों के लिए बाल उपयोगकर्ता खाते बना सकते हैं, पंजीकृत कर सकते हैं, प्रबंधित कर सकते हैं और अनुमोदित कर सकते हैं जिनके आप कानूनी अभिभावक हैं। यदि आप किसी बाल उपयोगकर्ता का पंजीकरण करते हैं, उसे अनुमोदित करते हैं या उसकी सहमति देते हैं, या किसी भी प्रकार से उसकी जिम्मेदारी लेते हैं, तो आप यह प्रमाणित करते हैं कि आप उस बाल उपयोगकर्ता के माता-पिता या कानूनी अभिभावक हैं और आप उस बाल उपयोगकर्ता की ओर से इन नियमों और शर्तों से बंधे रहने के लिए सहमत हैं, जिसमें आपके बाल उपयोगकर्ता द्वारा वेबसाइट के सभी उपयोग के लिए उत्तरदायी होना भी शामिल है। आप अपने बाल उपयोगकर्ता को सेवाओं के जिम्मेदार उपयोग के बारे में शिक्षित करने के लिए जिम्मेदार हैं, जिसमें निषिद्ध आचरण और सेवाओं पर किसी भी प्रकार की व्यक्तिगत रूप से पहचान योग्य जानकारी जमा करने से बचना शामिल है। सेवाओं तक आपके बच्चे की पहुंच की निगरानी और प्रबंधन करना आपकी जिम्मेदारी है। यदि आप अपने बाल उपयोगकर्ता के लिए पहुंच का अनुरोध करते हैं, तो आपके बाल उपयोगकर्ता को एक अधिकृत उपयोगकर्ता माना जाएगा और आप सेवाओं पर उनके कार्यों (और उपयोग) के लिए जिम्मेदार होंगे। आप स्वीकार करते हैं कि नोमैड एकेडमी आपकी पंजीकरण जानकारी या बाल उपयोगकर्ता खाते से संबंधित पंजीकरण जानकारी को सत्यापित करने के लिए प्रत्यक्ष या तृतीय पक्षों के माध्यम से आवश्यक समझी जाने वाली कोई भी पूछताछ कर सकती है, लेकिन ऐसा करने के लिए बाध्य नहीं है। इसमें सत्यापन सेवाएं प्रदान करने के लिए तृतीय पक्षों को शामिल करना भी शामिल है। व्यक्तिगत जानकारी को गलत तरीके से प्रस्तुत करने या अपनी पहचान के बारे में झूठ बोलने वाले किसी भी व्यक्ति के खिलाफ कानूनी कार्रवाई करने का नोमैड एकेडमी को पूरा अधिकार है। उपरोक्त के बावजूद, आप स्वीकार करते हैं कि नोमैड एकेडमी किसी भी उपयोगकर्ता द्वारा प्रस्तुत की गई किसी भी जानकारी की सटीकता की गारंटी नहीं दे सकती है और नोमैड एकेडमी किसी भी उपयोगकर्ता की पहचान सत्यापित करने के लिए बाध्य नहीं है, जिसमें किसी उपयोगकर्ता द्वारा अभिभावक होने का दावा भी शामिल है, या यह सत्यापित करने के लिए कि पंजीकरण के दौरान किसी बच्चे उपयोगकर्ता या अन्य पक्ष द्वारा पहचाना गया अभिभावक उस बच्चे उपयोगकर्ता का वास्तविक अभिभावक या कानूनी संरक्षक है। इन शर्तों का पालन न करने पर नोमैड एकेडमी किसी भी समय और बिना किसी चेतावनी के अभिभावक उपयोगकर्ता खाते और उससे जुड़े सभी बाल उपयोगकर्ता खातों को समाप्त कर सकती है।.

1.6. स्कूल में उपयोग

नोमैड अकादमी कुछ ऐसी सुविधाएँ और उपकरण उपलब्ध करा सकती है जो शिक्षकों, विद्यालय प्रमुखों, सहायकों, प्रधानाचार्यों, विद्यालय प्रशासकों, विद्यालय जिला प्रशासकों, या अन्य समान विद्यालय कर्मियों ("विद्यालय कर्मी") के रूप में पंजीकृत उपयोगकर्ताओं को छात्रों और अन्य उपयोगकर्ताओं के साथ सेवाओं के माध्यम से काम करने की अनुमति देते हैं ताकि ऐसे छात्रों को विद्यालय के पाठ्यक्रम के हिस्से के रूप में ट्यूटोरियल, शैक्षिक और अन्य शिक्षा-संबंधी सेवाएं प्रदान की जा सकें, और ऐसे छात्रों की शैक्षिक उपलब्धि और प्रगति की समीक्षा और मूल्यांकन किया जा सके। यदि आप किसी विद्यालय, विद्यालय जिले, या अन्य समान शैक्षणिक संस्थान ("संस्थान") की ओर से सेवाओं का उपयोग करने वाले विद्यालय कर्मी हैं, तो निम्नलिखित शर्तें आप पर लागू होती हैं:

1.6.1. उपयोग पर सीमाएं.  

ये सेवाएं और वेबसाइट आपको स्कूल पाठ्यक्रम के हिस्से के रूप में शैक्षिक उद्देश्यों के लिए प्रदान की जाती हैं। आपको इन सेवाओं और वेबसाइट का उपयोग सभी लागू कानूनों, नियमों और विनियमों के अनुपालन में करना होगा। यह सुनिश्चित करना (और पुष्टि करना) आपकी ज़िम्मेदारी है कि इन सेवाओं और वेबसाइट का आपका उपयोग आपके संस्थान और किसी भी लागू नीतियों, जिसमें स्कूल जिला और स्कूल नीतियां शामिल हैं, द्वारा अनुमत है। आप सहमत हैं कि आप सेवाओं, वेबसाइट या सेवाओं या वेबसाइट तक पहुंच के किसी भी हिस्से का पुनरुत्पादन, नकल, प्रतिलिपि, बिक्री, पुनर्विक्रय या किसी भी प्रकार से व्यावसायिक उद्देश्य के लिए शोषण नहीं करेंगे।.

1.6.2. सहमति और सूचनाओं की जिम्मेदारी.  

आप और/या संस्थान, माता-पिता या कानूनी अभिभावकों से आवश्यक सहमति प्राप्त करने और स्कूल उपयोगकर्ताओं और उनके माता-पिता को सेवाओं के उपयोग, हमारी शर्तों और हमारी गोपनीयता नीति के संबंध में उचित जानकारी प्रदान करने के लिए उत्तरदायी हैं। आप स्कूल उपयोगकर्ता की ओर से इन शर्तों का पालन करने के लिए सहमत हैं, जब तक कि स्कूल उपयोगकर्ता खाता किसी वैध अभिभावक उपयोगकर्ता खाते या पात्र आयु के छात्र के व्यक्तिगत खाते में स्थानांतरित या स्थानांतरित नहीं हो जाता। यदि आप विद्यालय कर्मचारी हैं और आप किसी बच्चे या अन्य छात्र (प्रत्येक, एक "विद्यालय उपयोगकर्ता") के लिए खाता पंजीकृत करते हैं या किसी विद्यालय उपयोगकर्ता को विद्यालय उपयोग के लिए खाता बनाने का निर्देश देते हैं, तो आप यह प्रतिनिधित्व और गारंटी देते हैं कि आपने ऐसे विद्यालय उपयोगकर्ता के माता-पिता या कानूनी अभिभावक से विद्यालय उपयोगकर्ता के पंजीकरण और नोमैड अकादमी को संबंधित जानकारी के प्रकटीकरण के लिए स्पष्ट सहमति प्राप्त कर ली है या आपने (या आपकी संस्था ने) माता-पिता की सहमति की आवश्यकताओं से छूट या अपवाद की सभी लागू आवश्यकताओं का अनुपालन किया है और करेंगे (यदि कोई उपलब्ध है), जो आवश्यक है आपको वेबसाइट पर स्कूल उपयोगकर्ता का पंजीकरण करना होगा और नोमैड एकेडमी को पंजीकरण से संबंधित जानकारी प्रदान करनी होगी। नोमैड एकेडमी किसी भी समय स्कूल कर्मियों (या संस्थान) से अभिभावकों या कानूनी संरक्षकों को दी गई सूचना और उनकी सहमति के रिकॉर्ड का अनुरोध करने का अधिकार सुरक्षित रखती है।.

1.6.3. अमेरिकी कानूनों का अनुपालन.  

विशेष रूप से, यदि आप संयुक्त राज्य अमेरिका में स्कूल उपयोग के लिए हमारी सेवा का उपयोग कर रहे हैं, तो आप व्यक्तिगत रूप से और संस्थान की ओर से सहमत हैं कि:

• (i) आप पारिवारिक शैक्षिक अधिकार और गोपनीयता अधिनियम तथा अमेरिकी शिक्षा विभाग के 34 सीएफआर भाग 99 (सामूहिक रूप से, "एफईआरपीए") तथा आपके संस्थान में उपयोगकर्ताओं के बारे में व्यक्तिगत रूप से पहचान योग्य जानकारी के संग्रह, उपयोग और प्रकटीकरण से संबंधित अन्य सभी लागू कानूनों, नियमों या विनियमों (सामूहिक रूप से, "लागू गोपनीयता कानून") के अनुपालन के लिए जिम्मेदार होने से परिचित हैं और सहमत हैं।.
• (ii) आप नोमैड एकेडमी का उपयोग कक्षा में करने वाले छात्रों ("छात्र" या "छात्र उपयोगकर्ता") और उनके अभिभावकों को वेबसाइट के छात्र उपयोग, हमारी शर्तों और हमारी गोपनीयता नीति के संबंध में उचित सूचनाएं और खुलासे प्रदान करने की जिम्मेदारी लेते हैं (और इसके द्वारा सहमत हैं कि नोमैड एकेडमी इसके लिए जिम्मेदार नहीं है), जिसमें बाल ऑनलाइन गोपनीयता संरक्षण अधिनियम ("COPPA"), FERPA, या अन्य लागू गोपनीयता कानून के तहत कोई भी सूचना शामिल है। आप COPPA और इसके कार्यान्वयन विनियमों के तहत किसी भी लागू आवश्यकताओं का पालन करने के लिए सहमत हैं ताकि बाल उपयोगकर्ताओं के अभिभावकों या कानूनी संरक्षकों को उनकी व्यक्तिगत जानकारी के संग्रह, उपयोग और प्रकटीकरण के संबंध में हमारी प्रथाओं के बारे में प्रत्यक्ष सूचना प्रदान की जा सके और साथ ही हमारी गोपनीयता नीति तक पहुंच प्रदान की जा सके।.
• (iii) आप COPPA, FERPA या अन्य लागू गोपनीयता कानूनों के तहत आवश्यक सीमा तक, सेवाओं, कक्षा में वेबसाइट के उपयोग (धारा 1.8 में उल्लिखित "लिंक्ड अकाउंट्स" के उपयोग सहित) और उससे संबंधित नोमैड एकेडमी को व्यक्तिगत रूप से पहचान योग्य जानकारी के प्रकटीकरण के संबंध में, माता-पिता या कानूनी अभिभावकों से आवश्यक सहमति प्राप्त करने की जिम्मेदारी लेते हैं (और इसके द्वारा सहमत हैं कि नोमैड एकेडमी जिम्मेदार नहीं है)। आप नोमैड एकेडमी को यह प्रतिनिधित्व और गारंटी देते हैं कि स्कूल उपयोग के लिए खाते बनाने से पहले, आपने या तो सभी आवश्यक माता-पिता या कानूनी अभिभावक की सहमति प्राप्त कर ली है, या माता-पिता की सहमति की आवश्यकताओं से छूट या अपवाद की सभी लागू आवश्यकताओं का अनुपालन किया है और करेंगे (यदि कोई हो), जिसमें शामिल हैं:

• 1.6.5. स्कूल खातों में एकीकृत सेवाओं का उपयोग.

1.7. कोच

1.9. विद्यालय जिले

नोमैड अकादमी, सेवाओं के उपयोग के संबंध में जिला-स्तरीय आधार पर विद्यालय जिलों के साथ पूरक लिखित समझौते ("जिला समझौते") कर सकती है। जिला समझौतों के अनुसार, हम विद्यालय जिलों को अतिरिक्त सेवाएं प्रदान कर सकते हैं, और/या सेवाओं के संबंध में विद्यालय जिलों को अतिरिक्त वचन दे सकते हैं। जिला समझौते में अन्यथा दिए गए प्रावधानों को छोड़कर, ये शर्तें संबंधित जिले में सेवाओं के सभी व्यक्तिगत उपयोगकर्ताओं पर लागू रहेंगी।.

1.10. अंतर्राष्ट्रीय उपयोग

4. शर्तों में संशोधन

4.1. सामान्य

4.2. स्कूल खाते

ऊपर दिए गए अनुभाग 4.1 (सामान्य) में उल्लिखित प्रावधानों के अतिरिक्त, निम्नलिखित प्रावधान स्कूल खातों पर लागू होते हैं। यदि शैक्षिक अभिलेखों में निहित व्यक्तिगत जानकारी के उपयोग या साझाकरण के संबंध में कोई परिवर्तन छात्र उपयोगकर्ताओं या किसी संस्थान पर प्रतिकूल प्रभाव डालता है, और संस्थान इस परिवर्तन से सहमत नहीं है, तो संस्थान को नीचे दिए गए अनुभाग 15.1 (सूचना) के अनुसार परिवर्तन की सूचना प्राप्त होने के तीस दिनों के भीतर नोमैड अकादमी को सूचित करना होगा। यदि नोमैड अकादमी को आवश्यकतानुसार सूचित किया जाता है, तो उस संस्थान के स्कूल खाते नोमैड अकादमी के साथ संस्थान के लिखित सेवा समझौते की वर्तमान अवधि के अंत तक, या ऐसे किसी समझौते के अभाव में, वर्तमान स्कूल सत्र के अंत तक, परिवर्तन से ठीक पहले प्रभावी शर्तों द्वारा शासित रहेंगे। यदि इस अवधि के बाद सेवाओं का नवीनीकरण या निरंतरता जारी रहती है, तो उनका नवीनीकरण या निरंतरता नोमैड अकादमी की तत्कालीन प्रचलित शर्तों के तहत होगी।.

5. उपयोगकर्ता सामग्री लाइसेंस प्रदान करना

5.1. उपयोगकर्ता सामग्री और स्वामित्व

• 8.4. post, upload, generate, promote, glorify, or distribute any User Content or other content that is unlawful or that a reasonable person could deem to be objectionable, offensive, indecent, pornographic, sexually explicit, harassing, threatening, embarrassing, distressing, vulgar, hateful, hate speech, racially or ethnically offensive, promoting of violence, self-harm, harm to others (individuals, society or organizations), hostility, or discrimination, false or misleading, misinformation, malware, content intended to cause harm, or otherwise inappropriate;
• 8.5. use the Services in any manner that is harmful to minors, or in any manner that violates Nomad Academy’s Community Guidelines;
• 8.6. impersonate any person or entity, falsely claim an affiliation with any person or entity, or access the Services accounts of others without permission, create accounts via bots or other automated means, mislead any person regarding whether Output generated by or through use of the Services is human-generated, or perform any other fraudulent activity;
• 8.7. use of the Services to commit any act of educational dishonesty;
• 8.8. develop, support or use software, devices, scripts, robots, or any other means or processes (including crawlers, browser plugins and add-ons, or any other technology) to scrape the Services or otherwise copy lessons and other data from the Services;
• 8.9. Use bots or other automated methods to access the Services;
• 8.10. delete (or otherwise obscure or alter) the copyright or other proprietary rights notices on the Services or on any Licensed Educational Content, Licensed Educational Code, or User Content;
• 8.11. assert, or authorize, assist, or encourage any third party to assert, against Nomad Academy or any of its affiliates or licensors any patent infringement or other intellectual property infringement claim regarding any Licensed Educational Content, Licensed Educational Code, or User Content you have used, submitted, or otherwise made available on or through the Services;
• 8.12. make unsolicited offers, advertisements, proposals, or send junk mail or spam to other Users of the Services (including, but not limited to, unsolicited advertising, promotional materials, political campaign materials, or other solicitation material, bulk mailing of commercial advertising, chain mail, informational announcements, charity requests, and petitions for signatures);
• 8.13. use the Services for any illegal purpose, or in violation of any local, state, national, or international law, including, without limitation, laws governing intellectual property and other proprietary rights, and data protection and privacy;
• 8.14. defame, harass, bully, abuse, threaten or defraud Users of the Services, or collect, or attempt to collect, personal information about Users or third parties without their consent;
• 8.15. probe, scan, remove, circumvent, disable, damage or otherwise interfere with or test the vulnerability of security-related features of the Services, Licensed Educational Content, Licensed Educational Code, or User Content, features that prevent or restrict use or copying of any content accessible through the Services, or features that enforce limitations on the use of the Services, Licensed Educational Content, Licensed Educational Code, or User Content, or otherwise access, tamper with, or use non-public portions of the Services without our authorization;
• 8.16. reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the Services or any part thereof, except and only to the extent that such activity is expressly permitted by applicable law (in which case you must Contact NOMAD Academy to give notice of the proposed activity and discuss alternative means to obtain the desired information from Nomad Academy) notwithstanding this limitation;
• 8.17. modify, adapt, translate or create derivative works based upon the Services or any part thereof, except and only to the extent expressly permitted by Nomad Academy herein or to the extent the foregoing restriction is expressly prohibited by applicable law (in which case you must Contact Nomad Academy to give notice of the proposed activity and discuss whether Nomad Academy is willing to provide the desired derivative works); or
• 8.18. intentionally interfere with or damage operation of the Services or any user’s enjoyment of it, by any means, including without limitation by participation in any denial-of-service type attacks, any prompt injection attack or other attempt to interfere with intended functionality of the Services, or by uploading or otherwise disseminating viruses, adware, spyware, worms, or other malicious code.

9. Third-Party Sites, Products and Services; Links

The Services may include links or references to other web sites or services solely as a convenience to Users (“Reference Sites”).  Nomad Academy does not endorse any such Reference Sites or the information, materials, products, or services contained on or accessible through Reference Sites.  ACCESS AND USE OF REFERENCE SITES, INCLUDING THE INFORMATION, MATERIALS, PRODUCTS, AND SERVICES ON OR AVAILABLE THROUGH REFERENCE SITES, IS SOLELY AT YOUR OWN RISK.

10. Term and Termination

10.1. Term

These Terms shall remain in full force and effect while you use the Services unless your account is terminated as provided in these Terms, in which case you no longer have the right to use the Services.

10.2. Termination by Nomad Academy

Nomad Academy, in its sole discretion, for any or no reason, and without penalty, may: (a) restrict, suspend or terminate: (i) any account (or any part thereof) you may have with Nomad Academy or (ii) your use of the Services, and (b) remove and discard all or any part of your account, User profile, and User Content, at any time.  Nomad Academy may also in its sole discretion and at any time discontinue providing access to the Services, or any part thereof, with or without notice.  You agree that any termination of your access to the Services or any account you may have, or portion thereof, may be affected without prior notice, and you agree that Nomad Academy will not be liable to you or any third party for any such termination. Any suspected fraudulent, abusive or illegal activity may be referred to appropriate law enforcement authorities. These remedies are in addition to any other remedies Nomad Academy may have at law or in equity. As discussed herein, Nomad Academy does not permit copyright, trademarks, or other intellectual property infringing activities on the Services, and will terminate access to the Services, and remove all User Content or other content submitted, by any Users who are found to be repeat infringers.

10.3. Termination by You

Your only remedy with respect to any dissatisfaction with (i) the Services, (ii) any term of these Terms, (iii) Guidelines, (iv) any policy or practice of Nomad Academy in operating the Services, or (v) any content or information transmitted through the Services, is to terminate the Terms and your account.  You may terminate these Terms at any time (prospectively only) by deleting your login account with the Services and discontinuing use of any and all parts of the Services.

10.4. Termination of School Personnel, Child and Student Accounts

Certain Users (e.g., Parent Users and School Personnel) may terminate these Terms with respect to their account or to a Child or Student User account that was created by them or at their direction, as provided in this Section.

10.4.1. Termination by School Personnel.  School Personnel may terminate use of the Services individually and/or with respect to School Accounts created by such School Personnel at any time by contacting us, provided, however, that an Institution may require satisfaction of certain requirements before School Personnel can terminate accounts created for school use.  Prior to termination of School Accounts at the direction of School Personnel, Nomad Academy may invite Users, or parents or legal guardians of Students, to establish and maintain a personal account for purposes of retaining any content generated or provided and owned by Users under these Terms (including such User’s learning activity).  Any such Personal accounts will be established under Nomad Academy’s standard account opening process, including parental consent for Users under the age of 13.

10.4.2. Termination by Parents.  As a Parent User, if you created a Child account on the Services and have a Parent User account associated with the Child account, you can terminate your Child’s login account through the account profile, or by contacting our customer support team, although we may need to verify your identity prior to taking any action with respect to the account.  Parents of Students who are using School Accounts created by or at the direction of your Child’s teacher in school may first need to contact your child’s school to request termination.

10.5. Responsibility for Pre-Termination activity

Termination of the Terms as to any User account will not limit Nomad Academy’s rights and remedies regarding any breach of these Terms occurring prior to such termination.

11. Representations and Warranties

You warrant, represent and agree that you will not provide any User Content or otherwise use the Services in a manner that (i) infringes, violates or misappropriates another’s intellectual property rights, rights of publicity or privacy, or other rights; (ii) violates any international, federal, state or local law, statute, ordinance or regulation or which would render Nomad Academy in violation of any applicable laws or regulations, including without limitation, Applicable Privacy Laws (collectively, “Applicable Law”); (iii) is harmful, fraudulent, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, or otherwise Prohibited Conduct as defined in Section 8 of these Terms; or (iv) jeopardizes the security of your account or the Services in any way, such as allowing someone else access to your account or password or submitting User Content that contains viruses. Additionally, you represent, warrant and agree that (i) you possess all rights necessary to provide your User Content and grant Company the rights in these Terms;  (ii) you will comply with Applicable Laws in connection with your use of the Service; and (iii), if you are School Personnel, you understand that you are responsible for providing notices and obtaining consents (if any) required by Applicable Laws for students to use the Services or to provide User Content, including, for US schools, compliance with any applicable provisions of FERPA and COPPA when using School Consent.

12. Indemnification

You agree, to the extent permissible under your state’s laws, to indemnify, defend, and hold harmless Nomad Academy, and its parent, successors, affiliated companies, contractors, officers, directors, employees, agents and its third-party suppliers, licensors, and partners (“Nomad Academy Parties”) from and against all losses, damages, liabilities, demands, judgments, settlements, costs and expenses of any kind (including legal fees and expenses), from any claim or demand made by any third-party relating to or arising out of (i) your access to, use or misuse of the Services; (ii) your breach or alleged breach of these Terms, or any violation of the Terms; (iii) any breach of the representations, warranties, and covenants made herein, whether by you or by any Child User or School User whose account you have approved as a Parent User or School Personnel; (iv) your failure to comply with Applicable Laws (including any failure to obtain or provide any required consent or notice); (v) the infringement by you or any third-party using your account of any intellectual property, privacy, or other right of any person or entity, including in connection with your User Content, or (vi) your breach or alleged breach of any interaction, agreement, or policy between you and any other Users. Nomad Academy reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify Nomad Academy, and you agree to cooperate Nomad Academy’s defense of these claims.  You agree not to settle any such matter without the prior written consent of Nomad Academy. Nomad Academy will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.

13. Disclaimers; No Warranties

13.1. No Warranties

THE WEBSITE, AND ALL DATA, INFORMATION, SOFTWARE, WEBSITE MATERIALS, CONTENT (WHETHER OWNED OR LICENSED), USER CONTENT, REFERENCE SITES, SERVICES, OR APPLICATIONS MADE AVAILABLE IN CONJUNCTION WITH OR THROUGH THE WEBSITE (THE “NOMAD ACADEMY OFFERINGS”), ARE PROVIDED ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, THE NOMAD ACADEMY PARTIES DISCLAIM ANY AND ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER STATUTORY, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ALL IMPLIED WARRANTIES OF MERCHANTABILITY, QUALITY, AVAILABILITY, QUIET ENJOYMENT, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.  NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM NOMAD ACADEMY OR THROUGH THE WEBSITE WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.

13.2. Content

NOMAD ACADEMY, AND THE NOMAD ACADEMY PARTIES, DO NOT WARRANT THAT THE WEBSITE OR ANY DATA, USER CONTENT, FUNCTIONS, OR ANY OTHER INFORMATION OFFERED ON OR THROUGH THE WEBSITE WILL BE UNINTERRUPTED, OR FREE OF ERRORS, VIRUSES OR OTHER HARMFUL COMPONENTS, AND DO NOT WARRANT THAT ANY OF THE FOREGOING WILL BE CORRECTED.

NOMAD ACADEMY AND THE NOMAD ACADEMY PARTIES MAKE NO REPRESENTATION OR WARRANTY THAT (1) THE NOMAD ACADEMY OFFERINGS WILL (A) MEET YOUR REQUIREMENTS OR EXPECTATIONS, OR BE TO YOUR LIKING, OR (B) WILL BE TIMELY, SECURE, ACCURATE, FREE FROM ERRORS OR LOSS, OR UNINTERRUPTED, (2) THAT THE SERVICES ARE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS, OR (3) THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED. SOME FEATURES MAY BE NEW OR EXPERIMENTAL AND MAY NOT HAVE BEEN TESTED IN ANY MANNER.

13.3. AI Enabled Services

YOU ACKNOWLEDGE AND AGREE THAT OUTPUT FROM NOMADIE OR OTHER AI-ENABLED SERVICES MAY INCLUDE ERRORS (INCLUDING WITHOUT LIMITATION MATH ERRORS), MAY REFLECT BIASED, INCOMPLETE OR INCORRECT INFORMATION, MAY PROVIDE OBJECTIONABLE OR OFFENSIVE RESPONSES, MAY NOT ACCOUNT FOR EVENTS OR CHANGES TO UNDERLYING FACTS OCCURRING AFTER THE AI MODEL WAS TRAINED, AND HAVE OTHER LIMITATIONS.  YOU SHOULD NOT RELY ON THE FACTUAL ASSERTIONS IN OUTPUT WITHOUT INDEPENDENTLY FACT CHECKING THEIR ACCURACY.  OUTPUT MAY APPEAR ACCURATE DUE TO ITS DETAIL OR SPECIFICITY BUT CONTAIN MATERIAL INACCURACIES.

13.4. Betas: “As Is” No Guarantees; No Representation or Warranties

1. We may provide a limited license for You to access: betas (or otherwise pre-release Services that are under development), prototype or experimental features, pilot programs, limited release access, trials, or time-bounded evaluation licenses (each a “Beta”).  A Beta may have limited functionality. Some of the features may still be tested, known to make errors and provide incorrect information at times, and may have other bugs.  Betas may not become fully developed or generally available. Nomad Academy does not commit to maintaining any Betas and may change (or remove) Betas at any time.  You understand that Nomad Academy is not obligated to provide support for Betas.
2. Participation in Betas is for a limited time, and you may not be invited to receive access.  Access to a Beta is being offered “as-is” solely for the purposes of Nomad Academy testing, evaluating, and improving such features and their educational applications, including by collecting customer feedback, or for customer evaluation.  Nomad Academy reserves the right to select participants, modify terms of participation, suspend access to the Betas, or terminate the Beta in its sole discretion.  If you accept the invitation to receive access to a Beta, you represent and warrant that you meet any criteria for participating in the Beta (“Eligibility”).  If you wish to stop using a Beta, you may do so at any time.  For so long as you have access to a Beta, then this Section 13.4 applies.
3. YOU ACKNOWLEDGE AND AGREE THAT BETAS MAY FUNCTION FOR A LIMITED PERIOD OF TIME, HAVE LIMITED FEATURES, MAY MAKE ERRORS (INCLUDING WITHOUT LIMITATION MATH ERRORS), AND HAVE OTHER LIMITATIONS. NOTWITHSTANDING ANYTHING TO THE CONTRARY, NOMAD ACADEMY IS PROVIDING BETAS “AS IS”, AND NOMAD ACADEMY DISCLAIMS ANY AND ALL WARRANTIES INCLUDING ANY IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, AND STATUTORY WARRANTIES OF NON-INFRINGEMENT, LIABILITIES, AND INDEMNIFICATION OBLIGATIONS OF ANY KIND.  IN THE EVENT OF A CONFLICT BETWEEN THIS SECTION 13.4 AND ANY OTHER TERMS, THIS SECTION 13.4 WILL SUPERSEDE SUCH TERMS WITH RESPECT TO BETAS.

13.5. Harm to Your Computer

YOU UNDERSTAND AND AGREE THAT YOUR USE, ACCESS, DOWNLOAD, OR OTHERWISE OBTAINING OF CONTENT, WEBSITE MATERIALS, SOFTWARE, OR DATA THROUGH THE WEBSITE (INCLUDING THROUGH ANY API’S) IS AT YOUR OWN DISCRETION AND RISK, AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR PROPERTY (INCLUDING YOUR COMPUTER SYSTEM) OR LOSS OF DATA THAT RESULTS THEREFROM.

13.6. Limitations by Applicable Law

SOME STATES OR OTHER JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. YOU MAY ALSO HAVE OTHER RIGHTS THAT VARY FROM STATE TO STATE AND JURISDICTION TO JURISDICTION.

14. Limitation of Liability and Damages

14.1. Limitation of Liability

UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, WILL NOMAD ACADEMY OR THE NOMAD ACADEMY PARTIES BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, RELIANCE, OR EXEMPLARY DAMAGES (INCLUDING WITHOUT LIMITATION DAMAGES ARISING FROM ANY UNSUCCESSFUL COURT ACTION OR LEGAL DISPUTE, LOST BUSINESS, LOST REVENUES OR PROFITS, LOSS OF DATA, OR ANY OTHER PECUNIARY OR NON-PECUNIARY LOSS OR DAMAGE OF ANY NATURE WHATSOEVER) EVEN IF NOMAD ACADEMY OR A NOMAD ACADEMY PARTIES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES ARISING OUT OF OR RELATING (i) TO THE TERMS; (ii) YOUR USE OF (OR INABILITY TO USE) THE WEBSITE OR THE NOMAD ACADEMY OFFERINGS, OR (iii) ANY OTHER INTERACTIONS WITH NOMAD ACADEMY OR ANY THIRD-PARTY THROUGH OR IN CONNECTION WITH THE NOMAD ACADEMY OFFERINGS, INCLUDING OTHER USERS,.  APPLICABLE LAW MAY NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY OR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. IN SUCH CASES, NOMAD ACADEMY’S LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

14.2. Limitation of Damages

IN NO EVENT WILL NOMAD ACADEMY’S OR THE NOMAD ACADEMY PARTIES’ TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION ARISING OUT OF OR RELATING TO THE TERMS OR YOUR USE OF THE WEBSITE OR YOUR INTERACTION WITH OTHER WEBSITE USERS (WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), WARRANTY, OR OTHERWISE), EXCEED THE AMOUNT PAID BY YOU TO NOMAD ACADEMY, IF ANY, FOR ACCESSING THE WEBSITE DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

14.3. Basis of the Bargain

YOU ACKNOWLEDGE AND AGREE THAT NOMAD ACADEMY HAS OFFERED THE WEBSITE AND ENTERED INTO THE TERMS IN RELIANCE UPON THE DISCLAIMERS AND THE LIMITATIONS OF LIABILITY SET FORTH HEREIN, THAT THE DISCLAIMERS AND THE LIMITATIONS OF LIABILITY SET FORTH HEREIN REFLECT A REASONABLE AND FAIR ALLOCATION OF RISK BETWEEN YOU AND NOMAD ACADEMY, AND THAT THE DISCLAIMERS AND THE LIMITATIONS OF LIABILITY SET FORTH HEREIN FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND NOMAD ACADEMY.  NOMAD ACADEMY WOULD NOT BE ABLE TO PROVIDE THE WEBSITE TO YOU ON AN ECONOMICALLY REASONABLE BASIS WITHOUT THESE LIMITATIONS.

14.4. User Interactions and Release

14.4.1. User Disputes. Nomad Academy is not responsible for the actions, content, information or data of other third parties, including other Users. You are solely responsible for your interactions with other users of the Services, and any other parties with whom you interact through the Service. You should make whatever investigation you feel necessary or appropriate before proceeding with any online or offline interaction with any other person. We reserve the right, but have no obligation, to become involved in any way with these disputes.

14.4.2. Release. If you have a dispute with one or more Users, you release us (and the Nomad Academy Parties) from all claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes, including damages for loss of profits, goodwill, use, privacy or data. If you are a California resident, you waive your rights under California Civil Code §1542, which says: “A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his settlement with the debtor.” And, if you are not a California resident, you waive your rights under any applicable statutes of a similar effect, to the fullest extent permissible under applicable law.

15. Miscellaneous (Including Dispute Resolution and Arbitration)

15.1. Notice

Nomad Academy may provide you with notices, including those regarding changes to the Terms, by email, regular mail, postings on the Services, or other reasonable means.  Notice will be deemed given twenty-four hours after email is sent, unless Nomad Academy is notified that the email address is invalid.  Alternatively, we may give you legal notice by mail to a postal address, if provided by you through the Services.  In such a case, notice will be deemed given three days after the date of mailing. Notices posted on the Services are deemed given 30 days following the initial posting.   Any notices directed to Nomad Academy shall be sent by first class U.S. Mail to Good News Productions International.

15.2. Waiver

The failure of Nomad Academy to exercise or enforce any right or provision of the Terms will not constitute a waiver of such right or provision. Any waiver of any provision of the Terms will be effective only if in writing and signed by Nomad Academy.

15.3. Governing Law

The Terms will be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law that would cause the application of the laws of any other jurisdiction.

15.4. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY BECAUSE IT AFFECTS YOUR RIGHTS. BY AGREEING TO BINDING ARBITRATION, YOU WAIVE YOUR RIGHT TO LITIGATE DISPUTES THROUGH A COURT AND TO HAVE A JUDGE OR JURY DECIDE YOUR CASE.

15.4.1. Generally. In order to expedite and control the cost of disputes, Nomad Academy and you agree that any legal or equitable claim, dispute, action or proceeding arising from or related to your use of the Services or these Terms (“Dispute”) will be resolved as follows to the fullest extent permitted by law:

15.4.2. Notice of Dispute. In the event of a Dispute, you or Nomad Academy must give the other a written statement that sets forth the name, address, and contact information of the party giving it, the facts giving rise to the Dispute, and a proposed solution (a “Notice of Dispute”). You must send any Notice of Dispute by first class U.S. Mail to Nomad Academy.  Nomad Academy will send any Notice of Dispute to you by first class U.S. Mail to your address if Nomad Academy has it, or otherwise to your email address.  You and Nomad Academy will attempt in good faith to resolve any Dispute through informal negotiation within sixty (60) days from the date the Notice of Dispute is sent. After sixty (60) days, you or Nomad Academy may commence arbitration.

15.4.3. Binding Arbitration. Any Dispute which has not been resolved by negotiation as provided herein within sixty (60) days or such time period as you and Nomad Academy may otherwise agree, shall be finally resolved by binding arbitration as described in this Section 15.4 (Dispute Resolution and Arbitration).  You are giving up the right to litigate (or participate in as a party or class member) all Disputes in court before a judge or jury.  Instead, all Disputes will be resolved before a neutral arbitrator, whose decision will be final except for a limited right of appeal under the Federal Arbitration Act.  The place of arbitration shall be Santa Clara County, California.  Any court with jurisdiction over the parties may enforce the arbitrator’s award.

15.4.4. Class Action Waiver. Any proceedings to resolve or litigate any Dispute in any forum will be conducted solely on an individual basis.  Neither you nor Nomad Academy will seek to have any Dispute heard as a class action or in any other proceeding in which either party acts or proposes to act in a representative capacity.  No arbitration or proceeding will be combined with another without the prior written consent of all parties to all affected arbitrations or proceedings. You may file a Dispute only on your own behalf and cannot seek relief that would affect other Users. If there is a final judicial determination that any particular Dispute cannot be arbitrated in accordance with the limitations of this Section 15.4 (Dispute Resolution and Arbitration), then only that Dispute may be severed and brought in court. All other Disputes remain subject to this Section 15.4 (Dispute Resolution and Arbitration).

15.4.5. Arbitration Procedures. Any arbitration will be conducted by JAMS under the JAMS Comprehensive Arbitration Rules and Procedures (“JAMS Rules”) in effect at the time the Dispute is filed.  You may request a telephonic or in-person hearing by following the JAMS Rules.  In a dispute involving $10,000 or less, any hearing will be telephonic unless the arbitrator finds good cause to hold an in-person hearing instead. To the extent the forum provided by JAMS is unavailable, Nomad Academy and you agree to select a mutually agreeable alternative dispute resolution service and that such alternative dispute resolution service shall apply the JAMS Rules.  The arbitrator may award the same damages to you individually as a court could.  The arbitrator may award declaratory or injunctive relief to you only individually, and only to the extent required to satisfy your individual claim.

15.4.6. Arbitration Fees. Whoever files the arbitration will pay the initial filing fee.  If Nomad Academy files, then Nomad Academy will pay; if you file, then you will pay unless you get a fee waiver under the applicable arbitration rules.  Each party will bear the expense of that party’s attorneys, experts, and witnesses, and other expenses, regardless of which party prevails, but a party may recover any or all expenses from another party if the arbitrator, applying applicable law, so determines.

15.4.7. Filing Period.  To the extent permitted by law, any Dispute under these Terms must be filed within one (1) year in an arbitration proceeding.  The one-year period begins when the events giving rise to the Dispute first occur.  If a Dispute is not filed within one year, it is permanently barred.

15.4.8. Venue. In the event that any Dispute cannot be resolved by binding arbitration in accordance with this Section 15.4 (Dispute Resolution and Arbitration), you agree that such Dispute will be filed only in the state or federal courts in and for Santa Clara County, California, and each of you and Nomad Academy hereby consent and submit to the personal and exclusive jurisdiction of such courts for the purpose of litigating any such action. Notwithstanding this, Nomad Academy shall still be allowed to apply for injunctive or other equitable relief to protect or enforce its intellectual property rights in any court of competent jurisdiction.

15.5. Severability

If any provision of the Terms or any Guidelines is held to be unlawful, void, or for any reason unenforceable, then that provision will be limited or eliminated from the Terms to the minimum extent necessary and will not affect the validity and enforceability of any remaining provisions.

15.6. Assignment

The Terms and related Guidelines, and any rights and licenses granted hereunder, may not be transferred or assigned by you without Nomad Academy’s prior written consent, but may be assigned by Nomad Academy without consent or any restriction.  Any assignment attempted to be made in violation of the Terms shall be null and void.

15.7. Survival

Upon termination of the Terms, any provision which, by its nature or express terms should survive, will survive such termination or expiration, including, but not limited to, Sections 2 (Privacy Policy), 4 (Modification of the Terms) through 6 (Digital Millennium Copyright Act), 7.1 (Proprietary Materials), 7.4 (Non-Commercial Use), 7.5 (Crediting Nomad Academy), and 8 (Prohibited Conduct) through 15 (Miscellaneous (Including Dispute Resolution and Arbitration)).

15.8. Headings

The heading references herein are for convenience purposes only, do not constitute a part of the Terms, and will not be deemed to limit or affect any of the provisions hereof.

15.9. Entire Agreement

The Terms, the Privacy Policy and Guidelines constitute the entire agreement between you and Nomad Academy relating to the subject matter herein and will not be modified except in writing, signed by both parties, or by a change to the Terms, Privacy Policy or Guidelines made by Nomad Academy as set forth in Section 4 (Modification of the Terms) above.

15.10. Disclosures

The Services are hosted in the United States, and the services provided hereunder are offered by Nomad Academy.

15.11. Notice Regarding Apple

In addition to the sections above, and notwithstanding any other provision of these Terms, this Section applies with respect to your use of any mobile application governed by these Terms on an Apple iOS device. To the extent the other sections of these Terms are less restrictive than, or otherwise in conflict with, the terms of this Section, the more restrictive or conflicting terms in this Section apply. You acknowledge that these Terms are between you and Nomad Academy only, not with Apple, and Apple is not responsible for the Services and the content thereof. Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Services. In the event of any failure of the Services to conform to any applicable warranty, then you may notify Apple and Apple will refund the purchase price for the applicable mobile application to you, if any; and, to the maximum extent permitted by applicable law, Apple has no other warranty obligation whatsoever with respect to the Services. Apple is not responsible for addressing any claims by you or any third party relating to the Services or your possession and/or use of the Services, including, but not limited to: (i) product liability claims; (ii) any claim that the Services fail to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation. Apple is not responsible for the investigation, defense, settlement and discharge of any third-party claim that the Services or your possession and use of the Services infringes that third party’s intellectual property rights. You agree to comply with any applicable third-party terms, including Apple’s App Store Terms of Service, when using the Services. Apple, and Apple’s subsidiaries, are third-party beneficiaries of these Terms, and upon your acceptance of the Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce the Terms against you as a third party beneficiary of the Terms. You hereby represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

16. Artificial Intelligence (AI)

Generative Artificial Intelligence (AI) services can be powerful and valuable tools, but can also pose some significant risks. Nomad Academy will permit the responsible use of ChatGPT or other similar AI tools as long as students carefully consider the following issues.

16.1 Generative AI tools are not a substitute.

Don’t use these tools as a substitute for assignments, insights, and decision-making abilities in your role as a student. To enhance your learning, AI can be used for research purposes, however, it’s important to still evaluate the quality and relevance of the information provided by AI and use your own expertise and judgment to make informed decisions about what you should include in your work. You should also inform your coach if you use generative AI tools as part of the drafting or creation of any content that will be published. Using AI as a substitute for assignments will lead to disqualification of submitted work and account suspension for repeated offences. Our coaching team uses tools to scan work for the use of AI, calculated at a percentage of the content that is AI-generated. If this percentage is above 50%, the assignment will be immediately returned for revision.

16.2 Take ethical considerations into account while using generative AI.

All Nomad Academy students are expected to adhere to legal and ethical standards while using any AI platforms. Avoid engaging in activities that may infringe upon privacy, intellectual property rights, or violate any regulations or laws. Additionally, when creating content of any kind, students should clearly distinguish between their own input and AI-generated responses and attribute appropriately when sharing information.

16.3 Do not include restricted or private information in any interaction with generative AI tools.

Since user input is used by default to train the AI models, any information provided via a query could be made publicly available. This risk will be mitigated by using AI platforms exclusively with history or memory disabled, so users’ content won’t be used to train the model. If the platform you choose doesn’t have this disabled feature, don’t use it for Nomad Academy purposes. As an example, ChatGPT offers options to turn off both training and memory.

16.4. AI-generated content is not authoritative.

Generative AI tools don’t have the full capacity to recall or cite all the specific sources from which their responses are generated. Instead of quoting specific phrases, their responses are constructed based on patterns they have learned from a vast array of sources. This means the responses you receive may not be 100% accurate. Therefore, you should confirm the accuracy of the information by cross-referencing the reliable sources you would typically use to complete your assigned tasks or make decisions. Request for all resources to be cited.

16.5 These new technologies are rapidly evolving. 

As we gain more experience with generative AI technology and its capacity to self-verify increases, more guidance will be provided in the future.
