You may be asked to provide a password in connection with your account.\u00a0 You are solely responsible for maintaining the confidentiality of your account and password, and you agree to accept responsibility for all activities that occur under your account or password.\u00a0 You agree that the information you provide to Nomad Academy, whether at registration or at any other time, will be true, accurate, current, and complete.\u00a0 You also agree that you will ensure that this information is kept accurate and up-to-date at all times.\u00a0 If you have reason to believe that your account is no longer secure (e.g., in the event of a loss, theft, or unauthorized disclosure or use of your account ID or password), then you agree to immediately notify <a href=\"https:\/\/nomadacademy.org\/fr\/NA-support\/\">SUPPORT DE NOMAD ACADEMY<\/a>.\u00a0 You may be liable for the losses incurred by Nomad Academy or others due to any unauthorized use of your Services account.<\/p>\n<h2><b>1.3. Service Int\u00e9gr\u00e9<\/b><\/h2>\n<p>Nomad Academy may permit you to register for the Services through, or otherwise associate your Nomad Academy account with, certain third party social networking or integrated services, such as Facebook Connect and Google (\u201cIntegrated Service\u201d).\u00a0 By registering for the Services using (or otherwise granting access to) an Integrated Service, you agree that Nomad Academy may access your Integrated Service\u2019s account information, and may store and use certain information already associated with the Integrated Service consistent with our <a href=\"https:\/\/nomadacademy.org\/fr\/privacy-policy\/\">POLITIQUE DE CONFIDENTIALIT\u00c9<\/a>, and you agree to any and all terms and conditions of the Integrated Service regarding your use of the Services via the Integrated Service. You may revoke Nomad Academy\u2019s access to your account on any Integrated Service at any time by updating the appropriate account settings of the respective Integrated Service. You should check your account settings on each Integration Service to understand the information sent to us through each Integration Service, and any changes you can make in those account settings. You agree that any Integrated Service is a Reference Site (as defined below) and you are solely responsible for your interactions with the Integrated Service as a result of accessing the Services through the Integrated Service.\u00a0 Nomad Academy does not control the practices of Integrated Services, and you are advised to read the privacy policy and terms and conditions of any Integrated Service that you use to understand their practices.<\/p>\n<h2><b>1.4. Utilisateur Enfant<\/b><\/h2>\n<p>If you are under the age of 13 (in the United States, or under the legal age of consent in your country, then you are a \u201cChild User\u201d), and you may not create an account for the Services without consent and approval from your parent or legal guardian, or from your school as explained in Section 1.6 School Use. If you are under the age of 18, (or under the legal age of majority in your country), you represent that your parent or legal guardian has reviewed and agreed to the Terms on your behalf. Except for accounts created for School Use as defined in Section 1.6 School Use, Child Users that begin the registration process without a Parent User (as defined below) may have the registration process restricted until a parent or legal guardian approves or assumes responsibility for the Child User account.\u00a0 A Child User may use the Services if registered through certain educational organizations or, in certain cases, by School Personnel that have entered into a relationship directly with Nomad Academy, so long as the education organization has obtained parent or legal guardian consent, or has complied with an exemption to parental consent requirements under applicable law. A Child User will only be permitted to use the Services for so long as Nomad Academy reasonably believes that such access has been consented to by the Child User\u2019s parent or legal guardian, or by School Consent (as discussed in Section 1.6 School Use.<\/p>\n<h2><b>1.5. Usage Scolaire<\/b><\/h2>\n<p>Nomad Academy may make available certain features and tools that permit Users registered as teachers, school leaders, aides, principals, school administrators, school district administrators, or other similar school personnel (\u201cSchool Personnel\u201d) to work with students and other Users through the Services in order to provide such students with tutorial, educational and other education-related services as part of the school\u2019s curriculum, and to review and evaluate educational achievement and progress of such students.\u00a0 If you are School Personnel accessing the Services on behalf of a school, school district, or other similar educational institution (an \u201cInstitution\u201d), the following terms apply to you:<\/p>\n<h3><b>1.6.1. <\/b><b>Limitations d'utilisation<\/b><b>.<\/b>\u00a0\u00a0<\/h3>\n<p>The Services and Website are provided to you for educational purposes as part of the school curriculum.\u00a0 You must use the Services and the Website in compliance with all applicable laws, rules, and regulations.\u00a0 You are responsible for determining (and confirming) that your use of the Services and the Website is permitted by your Institution and any applicable policies, including any school district and school policies.\u00a0 You agree not to reproduce, duplicate, copy, sell, resell or otherwise exploit for any commercial purpose, any portion of the Services, the Website, or access to the Services or Website.<\/p>\n<h3><b>1.6.2. <\/b><b>Responsabilit\u00e9 en mati\u00e8re de consentement et de School User, for so long as the School User account is not transferred to or assumed by a valid Parent User account or personal account for a Student of eligible age.\u00a0 IF YOU ARE SCHOOL PERSONNEL AND YOU REGISTER AN ACCOUNT FOR A CHILD USER OR OTHER STUDENT (EACH, A \u201cSCHOOL USER\u201d) OR DIRECT A SCHOOL USER TO CREATE AN ACCOUNT FOR SCHOOL USE, YOU REPRESENT AND WARRANT THAT YOU HAVE EITHER RECEIVED EXPRESS CONSENT FROM SUCH SCHOOL USER\u2019S PARENT OR LEGAL GUARDIAN FOR REGISTRATION OF THE SCHOOL USER AND DISCLOSURE OF RELATED INFORMATION TO NOMAD ACADEMY OR THAT YOU (OR YOUR INSTITUTION) HAVE COMPLIED AND WILL COMPLY WITH ALL APPLICABLE REQUIREMENTS OF AN EXEMPTION FROM OR EXCEPTION TO PARENTAL CONSENT REQUIREMENTS, (IF ONE IS AVAILABLE), NECESSARY FOR YOU TO REGISTER THE SCHOOL USER FOR THE WEBSITE AND PROVIDE TO NOMAD ACADEMY THE INFORMATION YOU DISCLOSE IN CONNECTION WITH THE REGISTRATION OF SUCH SCHOOL USER.\u00a0 Nomad Academy reserves the right to request, at any time, that School Personnel (or the Institution) provide records of notice provided to, and consent provided by, parents or legal guardians.<\/p>\n<h3><b>1.6.3. <\/b><b>Conformit\u00e9 aux lois hereby agree that Nomad Academy is not responsible for) for providing appropriate notices and disclosures to students using Nomad Academy for classroom use (\u201cStudents\u201d or \u201cStudent Users\u201d) and their parents regarding Student use of the Website, our Terms, and our Privacy Policy, including any notices pursuant to the Children\u2019s Online Privacy Protection Act (\u201cCOPPA\u201d), FERPA, or other Applicable Privacy Law.\u00a0 You agree to comply with any applicable requirements under COPPA and its implementing regulations to provide the parents or legal guardians of Child Users direct notice regarding our practices with respect to collection, use, and disclosure of their personal information as well as access to our Privacy Policy.<\/li>\n<li aria-level=\"1\">(iii) You assume responsibility (and hereby agree that Nomad Academy is not responsible) for obtaining any consents required from parents or legal guardians, to the extent required under COPPA, FERPA or other Applicable Privacy Law, in connection with the Services, use of the Website for classroom use (including use of Linked Accounts referred to in Section 1.8, \u201cLinked Accounts\u201d), and disclosure of personally identifiable information to Nomad Academy in connection therewith.\u00a0 You represent and warrant to Nomad Academy that, prior to creation of accounts for School Use, you have either obtained all necessary parent or legal guardian consents, or have complied and will comply with all applicable requirements of an exemption from or exception to parental consent requirements, (if any), including:<\/li>\n<\/ul>\n<ul>\n<li aria-level=\"1\">under FERPA, you have complied and will comply with the \u201cschool official\u201d exception, or the \u201cdirectory information\u201d exception thereunder;<\/li>\n<li aria-level=\"1\">under COPPA, with respect to Students under the age of 13, you are acting as the agent of the parent and consenting on their behalf to the sharing of the Student\u2019s personal information. Where parental consent is required under COPPA, you agree to employ requisite methods to obtain verifiable parental consent, pursuant to requirements under COPPA and its implementing regulations; and<\/li>\n<li aria-level=\"1\">vous avez satisfait \u00e0 toute autre exigence de consentement ou de notification parentale applicable \u00e0 l'utilisation de nos Services par votre \u00c9tablissement.<\/li>\n<\/ul>\n<p>We refer to this as \u201cSchool Consent\u201d.\u00a0 If a Parent User does not consent or rescinds such School Consent, School Personnel or the Institution shall immediately notify Nomad Academy to discontinue that Student\u2019s access to the Services and ensure that such Student\u2019s information is no longer accessible through the Services.\u00a0 Under no circumstances will Nomad Academy be liable for the School Personnel\u2019s failure to consult their school\u2019s authorities and administrators or for failing to obtain School Consent when required.<\/p>\n<ul>\n<li aria-level=\"1\">\n<h3><b>1.6.4. <\/b><b>Identification des comptes scolaires<\/b><b>.<\/b>\u00a0\u00a0<\/h3>\n<\/li>\n<li aria-level=\"1\">\u00a0<\/li>\n<li aria-level=\"1\">Students and School Personnel may have personal accounts, in addition to accounts established for use in the classroom and associated with the Institution\u2019s use of the Services (\u201cSchool Accounts\u201d). If the Institution has a separate written service agreement with Nomad Academy that includes rostering services for your Institution, accounts provided for classroom use will be designated as School Accounts.\u00a0 In other cases, in order for accounts established for use in the classroom to be designated as \u201cSchool Accounts,\u201d the accounts must be (1) created by School Personnel (for example, when a teacher creates the user name, login and password to establish School Accounts, or when the teacher rosters a class using Google Classroom, Clever, ClassLink, or similar Integrated Service (to the extent we support use of such Integrated Service)), or (2) created by a School User at the direction of a School, in each case, using a School email address and associated with a School\u2019s class on the Service. User accounts created with a personal email address will not be considered School Accounts, and will be administered as personal accounts.\u00a0 If you have questions about how to create School Accounts that are associated with a School\u2019s class on the Service, please contact our customer support team.<\/li>\n<li aria-level=\"1\">\u00a0<\/li>\n<\/ul>\n<ul>\n<li aria-level=\"1\">\n<h3><b>1.6.5. <\/b><b>Utilisation des services int\u00e9gr\u00e9s dans les comptes scolaires<\/b><b>.\u00a0<\/b><\/h3>\n<\/li>\n<\/ul>\n<ul>\n<li aria-level=\"1\">\n<h3><b>\u00a0<\/b><\/h3>\n<\/li>\n<\/ul>\n<ul>\n<li aria-level=\"1\">If you are School Personnel and you choose to allow your students to log in on the Services using an Integrated Service, such as Google Classroom or Clever (to the extent we support use of such Integrated Service), you are responsible for educating your students on the proper use of Integrated Services and protecting their accounts.\u00a0 See Section 1.3 (Integrated Service).<\/li>\n<\/ul>\n<h2><b>1.7. Coachs<\/b><\/h2>\n<p>Nomad Academy may make available certain features and tools that allow Users to add \u201cCoaches\u201d to their account.<\/p>\n<p>1.7.1. Coaching features are provided to allow any User to give another User, such as a tutor, friend or family member, the ability to view the activity in their Nomad Academy account in order to provide them with tutoring or coaching help on Nomad Academy. In these Terms, we refer to any User that you connect to your Nomad Academy account (other than School Personnel and Parent Users, who have different account permissions) as a \u201cCoach\u201d.\u00a0 A Parent User associated with a Child User can disable the coaching feature upon account creation, or in the Child\u2019s User\u2019s account settings.<\/p>\n<p>1.7.2. If you are a Coach, the following provisions apply to you.\u00a0 You may use Nomad Academy features and tools only for purposes of providing tutoring, coaching or other education-related assistance to a User that already has a Nomad Academy account.\u00a0 COACHES ARE NOT PERMITTED TO CREATE OR REGISTER ACCOUNTS FOR ANY OTHER USER.\u00a0 In order to begin a coaching relationship, the student or other User you wish to coach must: (i) either have a pre-existing Nomad Academy account on the Services, or (ii) must establish a Nomad Academy account pursuant to these Terms.\u00a0 As a Coach, you are not allowed to create (or register) an account for someone else.\u00a0 YOU UNDERSTAND THAT REGISTRATION OF A PERSONAL ACCOUNT BY OR FOR A CHILD USER REQUIRES CONSENT FROM SUCH USER\u2019S PARENT OR LEGAL GUARDIAN.\u00a0 COACHES MAY NOT PROVIDE THIS CONSENT DIRECTLY OR ON BEHALF OF THE PARENT OR LEGAL GUARDIAN. You must use the Services and the Website in compliance with all applicable laws, rules, and regulations.<\/p>\n<h2><b>1.8. Comptes Li\u00e9s<\/b><\/h2>\n<p>Nomad Academy may permit a User to associate a personal account with their School Account, by using the login credentials associated with a personal account to join a class or use the account for school-directed learning.\u00a0 If a User chooses to associate a personal account with their School Account, the two accounts will be deemed \u201cLinked\u201d Accounts, and the User\u2019s learning activity (information regarding use of the Website generated by the User through use of the Website), whether generated during or outside of the school use, may be viewed by any person with access to either account.\u00a0 \u201cLinked\u201d Accounts are not separately functioning accounts; they permit access to a singular Nomad Academy account using more than one account interface or set of access credentials.\u00a0 Linked Accounts may benefit Students who want to use the Website for both personal and school purposes, by allowing School Personnel to have a deeper understanding of Student progress, and by allowing Users to keep track of all of their Nomad Academy learning activity on an aggregate basis.\u00a0 The User\u2019s election to enable account linking must be made, if at all, in connection with the initial account registration and rostering process for a given school year.\u00a0 Once accounts are linked, they cannot be separated.\u00a0 Nomad Academy may (but is not required to) enable linking of accounts as described herein.\u00a0 Upon any termination of the School Account by authorized School Personnel, the User\u2019s learning activity (including any learning activity from school use) will be retained in any Linked personal account.<\/p>\n<h2><b>1.9. Districts Scolaires<\/b><\/h2>\n<p>Nomad Academy may enter into supplemental written agreements with school districts with respect to use of the Services on a district-wide basis (\u201cDistrict Agreements\u201d).\u00a0 Pursuant to District Agreements, we may provide additional services to school districts, and\/or may provide additional undertakings to school districts with respect to the Services.\u00a0 Except as otherwise provided in a District Agreement, these Terms remain in effect for all individual Users of the Services in the relevant district.<\/p>\n<h2><b>1.10. Utilisation Internationale<\/b><\/h2>\n<p>Nomad Academy operates the Services in the United States.\u00a0 If you choose to access our Services from locations outside the United States, you acknowledge and agree to Nomad Academy\u2019s collection, transmission, use, storage and processing of content and data (including your personal information) in the United States.\u00a0 You agree to comply with and are solely responsible for ensuring compliance with all local laws, regulations, and rules in the jurisdiction in which you reside or access the Services, if and to the extent local laws are applicable to use of our Services.\u00a0 If you are under the age of 18 (or under the age of majority in the jurisdiction in which you reside), you confirm that you have received parental consent, if required in your jurisdiction, to open an account for Service and enter into these Terms, and that your parent has approved these terms on your behalf.\u00a0 Where parent consent is required (including but limited to use within an Institution), it must be provided by a parent or legal guardian or other person authorized to provide parent consent under the laws of your jurisdiction.\u00a0 Unless we have entered into a separate, mutually executed written agreement with you that says otherwise, we do not represent that our Services are appropriate or available for use in jurisdictions outside the United States.\u00a0 The right to access and use the Services is not granted in jurisdictions, if any, where it may be prohibited, or where your use would render Nomad Academy in violation of any applicable laws or regulations, including without limitation, Applicable Privacy Laws.<\/p>\n<h2><b>1.11. For particular information about how these Terms apply to Nomadie, please see Sections 3 (Other guidelines), 5.1 (User Content and Ownership), 8 (Prohibited Content), 13.2 (Content), and 13.3 (Betas: \u201cAs Is\u201d; No Guarantees; No Representation or Warranties).\u00a0 Nomadie, Nomad Academy\u2019s AI enabled learning guide and AI enabled learning activities, uses new artificial intelligence (\u201cAI\u201d) technologies and features that are at an early stage of development.\u00a0 It is your obligation to educate yourself and your authorized Users on responsible use of AI in general and generative AI specifically when using Nomadie.\u00a0 We strongly encourage that you require your authorized Users to review such guidelines (as well as any accompanying educational material related to our chatbot) as a prerequisite to access to our chatbot.\u00a0 For instance, Users should be aware that our chatbot may make mistakes and the User needs to fact check the response provided (referred to as Output).\u00a0 You have the obligation to monitor and approve the use of the Services, and we strongly recommend adult supervision for your authorized Users.<\/p>\n<h1><b>2. Disputes arising under these Terms will be resolved in accordance with the version of the Terms in place at the time the dispute arose.<\/p>\n<h2><b>4.2. Comptes Scolaires<\/b><\/h2>\n<p>The following provisions apply to School Accounts in addition to the provisions set forth in Section 4.1 (General) above.\u00a0 If a change with respect to how personal information contained in education records is used or shared has a material adverse impact on Student Users or an Institution, and the Institution does not agree to the change, the Institution must notify Nomad Academy within thirty days of receiving the notice of change as described under Section 15.1 (Notice) below.\u00a0 If Nomad Academy is notified as required, then the School Accounts held by that Institution will remain governed by the Terms in effect immediately prior to the change until the end of the end of the then current term of the Institution\u2019s written service agreement with Nomad Academy, or, in the absence of such an agreement, the end of the current school term.\u00a0 If the Services are renewed or continued after such time, they will be renewed or continued under Nomad Academy\u2019s then-current Terms.<\/p>\n<h1><b>5. Termination by Parents.\u00a0 As a Parent User, if you created a Child account on the Services and have a Parent User account associated with the Child account, you can terminate your Child\u2019s login account through the account profile, or by contacting our customer support team, although we may need to verify your identity prior to taking any action with respect to the account.\u00a0 Parents of Students who are using School Accounts created by or at the direction of your Child\u2019s teacher in school may first need to contact your child\u2019s school to request termination.<\/p>\n<h2><b>10.5. After sixty (60) days, you or Nomad Academy may commence arbitration.<\/p>\n<p>15.4.3. Binding Arbitration. Any Dispute which has not been resolved by negotiation as provided herein within sixty (60) days or such time period as you and Nomad Academy may otherwise agree, shall be finally resolved by binding arbitration as described in this Section 15.4 (Dispute Resolution and Arbitration).\u00a0 You are giving up the right to litigate (or participate in as a party or class member) all Disputes in court before a judge or jury.\u00a0 Instead, all Disputes will be resolved before a neutral arbitrator, whose decision will be final except for a limited right of appeal under the Federal Arbitration Act.\u00a0 The place of arbitration shall be Santa Clara County, California.\u00a0 Any court with jurisdiction over the parties may enforce the arbitrator\u2019s award.<\/p>\n<p>15.4.4. Class Action Waiver. Any proceedings to resolve or litigate any Dispute in any forum will be conducted solely on an individual basis.\u00a0 Neither you nor Nomad Academy will seek to have any Dispute heard as a class action or in any other proceeding in which either party acts or proposes to act in a representative capacity.\u00a0 No arbitration or proceeding will be combined with another without the prior written consent of all parties to all affected arbitrations or proceedings. You may file a Dispute only on your own behalf and cannot seek relief that would affect other Users. If there is a final judicial determination that any particular Dispute cannot be arbitrated in accordance with the limitations of this Section 15.4 (Dispute Resolution and Arbitration), then only that Dispute may be severed and brought in court. All other Disputes remain subject to this Section 15.4 (Dispute Resolution and Arbitration).<\/p>\n<p>15.4.5. Arbitration Procedures. Any arbitration will be conducted by JAMS under the JAMS Comprehensive Arbitration Rules and Procedures (\u201cJAMS Rules\u201d) in effect at the time the Dispute is filed.\u00a0 You may request a telephonic or in-person hearing by following the JAMS Rules.\u00a0 In a dispute involving $10,000 or less, any hearing will be telephonic unless the arbitrator finds good cause to hold an in-person hearing instead. To the extent the forum provided by JAMS is unavailable, Nomad Academy and you agree to select a mutually agreeable alternative dispute resolution service and that such alternative dispute resolution service shall apply the JAMS Rules.\u00a0 The arbitrator may award the same damages to you individually as a court could.\u00a0 The arbitrator may award declaratory or injunctive relief to you only individually, and only to the extent required to satisfy your individual claim.<\/p>\n<p>15.4.6. Arbitration Fees. Whoever files the arbitration will pay the initial filing fee.\u00a0 If Nomad Academy files, then Nomad Academy will pay; if you file, then you will pay unless you get a fee waiver under the applicable arbitration rules.\u00a0 Each party will bear the expense of that party\u2019s attorneys, experts, and witnesses, and other expenses, regardless of which party prevails, but a party may recover any or all expenses from another party if the arbitrator, applying applicable law, so determines.<\/p>\n<p>15.4.7. Filing Period.\u00a0 To the extent permitted by law, any Dispute under these Terms must be filed within one (1) year in an arbitration proceeding.\u00a0 The one-year period begins when the events giving rise to the Dispute first occur.\u00a0 If a Dispute is not filed within one year, it is permanently barred.<\/p>\n<p>15.4.8.
